By using Naruto TMS, you agree to these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By accessing or using Naruto TMS ("the Service"), operated by Kor Solutions ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

You must be at least 18 years old to use this Service. By using Naruto TMS, you represent that you are 18 or older and have the legal authority to enter into these Terms on behalf of yourself or your organization.

2. Description of Service

Naruto TMS is a transportation management system designed for small carriers. The Service helps you:

• Create and manage freight loads with multi-stop routing
• Assign and track drivers and power units
• Manage customer and carrier relationships
• Generate and track invoices and payments
• Log and categorize business expenses
• Store and organize transportation documents
• Track driver locations in real time

3. User Accounts & Organizations

3.1 Account Creation

To use the Service, you must:

• Provide accurate and complete information
• Maintain the security of your login credentials
• Notify us immediately of any unauthorized access

3.2 Organizations

Naruto TMS uses an organization model for team collaboration:

• Organization owners/admins control membership and permissions
• All data within an organization is shared among authorized members
• You are responsible for managing who has access to your organization
• Removing a member revokes their access to all organization data

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your authentication credentials
• All activities that occur under your account
• Ensuring that only authorized individuals access your organization

4. Acceptable Use

Permitted Uses:

• Managing your trucking or freight business operations
• Dispatching loads and tracking deliveries
• Invoicing customers for transportation services rendered
• Managing driver assignments and schedules
• Recording legitimate business expenses

Prohibited Uses:

• Any illegal activity, including but not limited to transporting illegal goods
• Fraudulent invoicing or falsifying load/expense records
• Unauthorized access to other users' accounts or organizations
• Using the Service to harass, threaten, or abuse anyone
• Attempting to reverse engineer, copy, or scrape the Service
• Using the Service in any way that violates DOT, FMCSA, or other transportation regulations
• Uploading malicious files, viruses, or harmful content

5. User Content and Data

5.1 Your Data

• You own your business data — All load, customer, driver, invoice, and expense data you enter belongs to you
• You are responsible for accuracy — We do not verify load details, invoice amounts, or other business information
• You grant us a license — To store, process, display, and transmit your data solely to provide the Service

5.2 Uploaded Documents

• You retain ownership of all documents you upload (BOLs, PODs, receipts, etc.)
• You represent that you have the right to upload any documents you provide
• We store documents securely but are not responsible for verifying their authenticity

5.3 Data Accuracy

We are NOT responsible for:

• Inaccurate data you enter (rates, addresses, dates, etc.)
• Disputes arising from incorrect records
• Errors in invoices you generate through the Service
• Compliance with transportation regulations based on data in the system

6. Location Tracking

Naruto TMS includes real-time driver location tracking:

• Location tracking requires driver consent via the mobile app
• Drivers can disable location tracking at any time
• Location data is used solely for dispatch and delivery tracking purposes
• Organization admins can view driver locations within their organization only
• We do not sell or share location data with third parties

7. Intellectual Property

• The Naruto TMS platform, code, design, and branding are the property of Kor Solutions
• You may not copy, modify, distribute, or reverse engineer the Service
• You retain ownership of all your business data and uploaded documents
• Our name, logo, and trademarks may not be used without written permission

8. Disclaimers

8.1 Service "AS IS"

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of error-free or uninterrupted operation
• Guarantees of data accuracy or reliability
• Warranties that the Service will meet your specific business requirements

8.2 Transportation Operations

• We are not responsible for the outcome of any load, delivery, or transportation operation
• We do not guarantee on-time deliveries or driver availability
• We are not liable for cargo damage, loss, or theft
• Compliance with all transportation laws and regulations is your sole responsibility

9. Limitation of Liability

We Are NOT Liable For:

• Cargo claims or freight disputes — We are a management tool, not a carrier or broker
• Data loss — While we take precautions, we cannot guarantee against all data loss
• Lost revenue or business — Any indirect, incidental, or consequential damages
• Driver actions — We are not responsible for driver conduct on or off the road
• Third-party services — External integrations, websites, or services
• Service interruptions — Downtime, maintenance, or technical issues
• Invoice disputes — Disagreements between you and your customers regarding billing

10. Indemnification

You agree to indemnify and hold harmless Kor Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your transportation operations or business activities
• Your violation of any laws, regulations, or third-party rights
• Any data, content, or documents you submit to the Service
• Claims by your customers, drivers, or other parties related to your business

11. Service Modifications

We reserve the right to:

• Modify or discontinue features with reasonable notice
• Update the Service for improvements, bug fixes, or security patches
• Change these Terms with notice to users
• Adjust pricing or introduce paid features with advance notice

12. Termination

By You:

• You may delete your account at any time
• Organization owners may delete their organization and all associated data
• Data will be permanently deleted within 30 days of account/organization deletion

By Us:

We may suspend or terminate accounts for:

• Violation of these Terms
• Illegal activity or fraud
• Abuse, harassment, or threats
• Prolonged inactivity (with prior notice)

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration, except where prohibited by law.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kor Solutions regarding your use of Naruto TMS.
